Terms of Service

Welcome to InfiniCity Labs Limited (“InfiniCity Labs,” “we,” “us,” or “our”). These Terms of Service (“Terms”) constitute a legally binding agreement between you (whether individually or on behalf of an entity you represent) and InfiniCity Labs Limited regarding your access to and use of our platform, applications, and smart infrastructure services.

By creating an account, accessing, or using our web application, mobile applications (including RoadLogger), Traffic Management Control (TMC), Advanced Road Asset Management System (AdAMS), PaveAgent, or related APIs (collectively, the “Services”), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.

InfiniCity Labs provides data-driven intelligent infrastructure and asset management solutions, including but not limited to:

• Advanced Road Asset Management System (AdAMS): Infrastructure inventory, condition assessment, AI-assisted video annotation, defect detection, and work order tracking.
• RoadLogger: Mobile video logging, GPS-synchronized survey route tracking, inspection capturing, and asset detection.
• Traffic Management & Monitoring (TMC): Camera stream aggregation, live monitoring, video recording schedules, and traffic flow analytics.
• PaveAgent & Engineering Analytics: AI-powered analytical chat, reporting, asset condition forecasting, and workbench tools.

To access certain features of the Services, you must register for an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain and promptly update your account information to keep it accurate and complete.
• Maintain the confidentiality of your login credentials and accept responsibility for all activities under your account.
• Notify us immediately at [email protected] of any unauthorized use of your account or security breach.

Organizational accounts may require administrator approval prior to activation. We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

You agree to use our Services solely for lawful purposes and in accordance with these Terms. You agree not to:

• Operate capture devices or mobile applications in a manner that distracts a driver or violates vehicle safety laws and traffic regulations.
• Attempt to decompile, reverse engineer, or disassemble any part of the software, algorithms, or models.
• Interfere with, disrupt, or bypass security mechanisms or rate limits of the Services.
• Upload malicious code, viruses, or harmful components to our servers or storage networks.
• Use our Services to systematically harvest, scrape, or extract confidential infrastructure data belonging to third parties without proper authorization.
• Resell, sublicense, or rent access to the platform without prior written agreement from InfiniCity Labs Limited.

5.1 Customer Ownership of Survey Data

You retain all ownership rights in and to your video logs, images, infrastructure annotations, and survey data (“Customer Data”). By uploading Customer Data, you grant InfiniCity Labs a worldwide, non-exclusive, royalty-free license to store, process, analyze, and display the data solely as necessary to provide, maintain, and improve the Services for your organization.

5.2 InfiniCity Labs Intellectual Property

The Services, including our proprietary computer vision models, algorithms, software interfaces, documentation, logos, and trademarks, are and remain the exclusive property of InfiniCity Labs Limited and its licensors.

Our Services utilize computer vision, machine learning models, and automated algorithms to identify infrastructure assets, traffic patterns, and road conditions. While we strive for high precision, AI outputs are provided for informational, screening, and decision-support purposes.

AI detection outputs do not replace licensed civil engineering inspections, official regulatory certifications, or structural safety sign-offs. Users and organizations remain responsible for verifying critical asset decisions with qualified engineering personnel.

We strive to provide reliable and high-availability Services. However, we do not warrant that the Services will be uninterrupted, timely, or error-free. We reserve the right to modify, update, or temporarily suspend features for maintenance, security updates, or service enhancements.

Certain services and organization tiers require paid subscriptions. By subscribing, you agree to pay the fees applicable to your tier in accordance with the billing terms presented at the time of purchase. Subscriptions renew automatically unless canceled in writing prior to the end of the current billing cycle.

To the maximum extent permitted by applicable law, InfiniCity Labs Limited, its directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or road maintenance delays arising out of or in connection with your use of the Services.

Our total aggregate liability under these Terms shall not exceed the amounts paid by you to InfiniCity Labs in the twelve (12) months preceding the claim.

You may terminate your account at any time by contacting support or through your organization account settings. We may suspend or terminate your access to the Services immediately, with or without notice, in the event of a material breach of these Terms or non-payment of applicable subscription fees.

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which InfiniCity Labs Limited is registered, without regard to conflict of law principles. Any disputes arising out of these Terms shall be resolved in the competent courts of that jurisdiction.
